Call To Order Mr. Steffler called the meeting to order at 4:10 p.m.
Agenda Ms. Forsythe moved to approve the revised agenda to include the addition of two action items.  Motion Carried.  
Minutes Mr. Miller moved to approve the Minutes of the April 17, 2013, Regular Board Meeting.   Motion Carried.
Introduction of Guests Susan Changnon introduced today’s guests.
Treasurer's Report Jim Hrabosky reviewed the April Operating, Capital, Academic Enhancement and Restricted Funds Budget Summaries. He also reviewed the Enrollment Report as of May 15, 2013. The Budget Summaries were accepted as presented.
Public Comment None
President's Report Dr. Neupauer reported on the following:

State and Federal Activities
-Dr. Neupauer was scheduled to take over as the PA Commission President on 7/01, but his duties began on 5/14 with the departure of the current President, Dr. Alex Johnson. Dr. Johnson accepted a position at Cuyahoga Community College in Cleveland.

College Activities
-The College will be closed May 24 & 27 in observance of the Memorial Day holiday.
-Dr. Neupauer distributed pins to the following trustees as a thank-you for their annual fund contribution: Ms. Geyer, Ms. Hawkins, Mr. McDowell, Mr. McCarrier and Ms. Staible.
-Dr. Spigelmyer’s father passed on 5/13. Please keep Francie and her family in your thoughts and prayers.
-Dr. Neupauer is receiving much positive feedback from students, staff and community members about the Shaffer Walking Trail.
-Dr. Neupauer gave a presentation at the Eastern Communication Association conference held in Pittsburgh in April.
-An articulation signing was held with Clarion University on 4/29. They will offer a Pre K-Grade Four baccalaureate degree to the Main Campus.
-Dr. Neupauer attended the flagpole dedication in memory of Commissioner Jim Green at the Slippery Rock Community Park on 5/02.
-An Information Night was held in Brockway. There were 60 in attendance with 25 applications for admission submitted.
-Dr. DiCuccio, Mr. Steffler and Dr. Neupauer attended the Nurses’ Pinning ceremony on 5/09. -The candidates for Butler County Controller held a debate recently with both giving positive comments about BC3.
-The Board of the Community College of Beaver County gave their president approval to investigate a merger with BC3.
-A Trustee summer retreat will be scheduled. Details will follow once a date has been selected.
Committee Reports  
Executive Mr. Steffler reported the committee met with the Finance committee on 5/07 and agenda items included:
-The committees considered the proposed 2013-14 budget. After discussion, the committees decided to postpone adoption of the budget until the June board meeting.
-The committees agreed no action will be taken by the board at this time regarding the Community College of Beaver County. Drs. Forrester and Neupauer will meet to discuss, however.
-An opportunity may exist for BC3 to enter into a gas lease. No decision was made at this time.
-Several trustees met with the candidates for Butler County Controller. The candidates appear to understand the College’s mission.
Finance Action Item
Application for State Assistance for Construction of Community College Facilities (Resolution 13-19)
Dr. DiCuccio moved to approve the submission of the PA Dept. of Education’s application to include classroom and technology upgrades at an estimated project cost of $200,000. Motion Carried.
Facilities No report..
Personnel No report, but Dr. DiCuccio announced the committee will meet soon.

Delegate Reports
Foundation Ruth Purcell reported on the following:

-Kelly Giles and Nancy Hunter Mycka joined the Foundation Board of Directors.
-Thank-you to trustees who supported the Shaffer Walking Trial by purchasing benches along the trail.
Mr. Miller reported on the following Alumni Association activities:
-Thirty-eight percent of full- and part-time staff are alums of BC3.
-Members of the Alumni Association gave $85,000 to the Foundation in 2012.
-The annual Pioneer golf outing is scheduled for 6/14 at St. Jude golf course.
-The Alumni Association will be receiving new members after tonight’s Commencement ceremony.
-In conjunction with the Alumni Association, the Bookstore is offering a 10% discount today on BC3 logo items.
Old Business No report.
New Business -The new board committee, Quality Assessment, will be re-introduced at the summer retreat.

Motion, 2013-14 Officer Nominations
Mr. Miller moved to approve the nominees:
Chair - Ray Steffler
Vice-Chair - William DiCuccio
Secretary - Jessica Forsythe
Treasurer - Bruce Mazzoni
There were no nominations from the floor. Nominations are closed. Motion Carried. The nominees will be elected at the June 19 board meeting.

Resolution 13-18, Comprehensive Advancement Campaign
Mr. Rittelmann moved to approve the BC3 Education Foundation, Inc. embarking on a Comprehensive Advancement Campaign that will transform the way students learn, support emerging careers and increase the number and value of scholarship awards. &bnsp;Motion Carried.
Executive Session An Executive Session was held from 5:00-5:30 p.m. to discuss personnel-related issues.
Adjournment Dr. DiCuccio moved to adjourn the meeting.  Motion Carried.  The meeting adjourned at 5:30 p.m.
